1. Introduction

These Terms and Conditions (“Agreement”) govern your participation in the Review Dingo Affiliate Program (“Affiliate Program”). By submitting an application to become an affiliate or by participating in the Affiliate Program, you agree to be bound by this Agreement.

This Agreement is between you (“Affiliate,” “you,” or “your”) and Allen Quay, operating as Review Dingo, a sole proprietorship registered in Nevada with a business address at 1930 Village Center Circle, 3-2698, Las Vegas, NV 89134 (“Review Dingo,” “we,” “us,” or “our”).

2. Definitions

• Affiliate: An individual or entity that promotes Review Dingo’s products and services in exchange for commission on qualifying sales.
• Commission: The percentage of revenue paid to Affiliates for Qualifying Purchases.
• Qualifying Purchase: A completed sale of eligible Review Dingo products or services resulting from an Affiliate’s marketing efforts.
• Tracking Link: The unique URL provided to the Affiliate that tracks referrals and subsequent purchases.
• Cookie Duration: The period during which a potential customer’s activity is attributed to an Affiliate (120 days).

3. Enrollment and Eligibility

3.1 To participate in the Affiliate Program, you must:

• Be at least 18 years of age
• Have a valid PayPal account
• Complete our online application
• Provide accurate and current information
• Maintain a website, blog, social media account, or other online presence

3.2 Application Approval

We reserve the right to reject any application if, in our sole discretion, we determine that your site or promotional method is unsuitable for the Affiliate Program for any reason.

3.3 Account Information

You must maintain accurate account information to ensure proper commission payment.

4. Commission Structure and Payment

4.1 Commission Rate

Affiliates earn a 30% commission on all Qualifying Purchases of Business and Professional plans only.

4.2 Qualifying Purchases

A purchase qualifies when:

• The customer clicks through the Affiliate’s unique Tracking Link
• The customer completes a purchase within the Cookie Duration period
• The purchase is for an eligible product
• The purchase is not fraudulent, canceled, or refunded

4.3 Cookie Duration

The standard cookie duration is 120 days from the initial click.

4.4 Payment Schedule

• Commissions are paid on the 1st of each month
• A 15-day holding period applies to all sales before they become eligible for commission
• Payments are made via PayPal only
• No minimum threshold required for payment
• All commissions are paid in US Dollars

4.5 Commission Adjustments

We reserve the right to adjust commission payments for:

• Refunds or cancellations
• Fraudulent activity
• Incorrect tracking
• Violations of this Agreement

4.6 Lifetime Commissions

You will receive recurring commissions for as long as the referred customer maintains their subscription, provided:

• Your affiliate account remains active
• You remain compliant with these Terms
• The customer maintains their service with us

5. Affiliate Obligations and Restrictions

5.1 Promotional Methods

Affiliates MUST:

• Clearly disclose their affiliate relationship with Review Dingo in accordance with FTC guidelines
• Promote Review Dingo products and services in a professional manner
• Ensure all information about Review Dingo is accurate and up-to-date

5.2 Prohibited Activities

Affiliates must NOT:

• Bid on Review Dingo’s trademarked terms in search engines
• Use Review Dingo’s name or variations in domain names
• Create websites or materials that could be confused with official Review Dingo properties
• Engage in spamming or unsolicited email marketing
• Make false or misleading claims about Review Dingo or its products
• Promote Review Dingo on sites containing illegal, offensive, or adult content
• Attempt to artificially inflate clicks or conversions
• Use incentivized traffic (paid-to-click, paid-to-read, etc.)
• Engage in cookie stuffing or any form of commission theft
• Represent yourself as an employee or official representative of Review Dingo

5.3 FTC Compliance

Affiliates must comply with all FTC guidelines regarding endorsements and testimonials, including:

• Clearly and conspicuously disclosing your relationship with Review Dingo in all promotional materials
• Using language such as “Advertisement,” “Ad,” “Sponsored,” “Affiliate Link,” or similar clear disclosures
• Ensuring disclosures are visible before a consumer engages with your affiliate link
• Not making claims about the product that Review Dingo doesn’t make

5.4 Content Standards

All promotional content must:

• Be professional and appropriate
• Not contain offensive, defamatory, or inappropriate content
• Not infringe on the intellectual property rights of others
• Not contain false or misleading information
• Comply with all applicable laws and regulations

5.5 Account Maintenance

Affiliates must maintain active accounts. Accounts with no activity for 6 consecutive months may be deactivated.

5.6 Self-Referrals Prohibited

Affiliates may not use their affiliate Tracking Links to make purchases for themselves or their business entity. Any attempt to earn commissions on self-referrals or purchases made for personal or company use is strictly prohibited and will result in commission reversal and potential termination from the Affiliate Program. Referring external clients or third parties is permitted.

6. Review Dingo’s Rights and Obligations

6.1 Marketing Materials

We will provide Affiliates with:

• Official marketing materials
• Product information
• Tracking Links
• Affiliate support

6.2 Tracking and Reporting

We will track referrals and provide reporting on:

• Clicks
• Conversions
• Commissions earned

6.3 Timely Payment

We will process payments according to the schedule outlined in Section 4.4.

6.4 Support

We will provide reasonable support to assist you in your promotional efforts.

7. Term and Termination

7.1 Term

This Agreement will begin upon our acceptance of your Affiliate Program application and will continue until terminated.

7.2 Termination Without Cause

Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.

7.3 Termination With Cause

We may terminate this Agreement immediately and without notice if:

• You breach any term of this Agreement
• You engage in fraudulent or illegal activity
• You misrepresent Review Dingo or its products/services
• You engage in any activity that could reasonably be expected to harm our reputation
• You fail to comply with FTC guidelines
• You generate excessive chargebacks or refunds

7.4 Post-Termination

Upon termination:

• You must remove all Review Dingo materials from your site
• You must cease using all Review Dingo trademarks and copyrighted material
• All rights granted under this Agreement will immediately terminate
• Any outstanding commissions that have cleared the 15-day holding period will be paid as scheduled

7.5 Program Changes

We reserve the right to:

• Modify any terms and conditions of the Affiliate Program
• Change the commission structure
• Change the payment procedures
• Discontinue the Affiliate Program

7.6 Notification of Changes

We will provide at least 30 days’ notice of any material changes to the Affiliate Program. Continued participation after changes constitutes acceptance of those changes.

8. Intellectual Property

8.1 Limited License

We grant you a revocable, non-exclusive, non-transferable, limited license to use our promotional materials solely for the purpose of promoting Review Dingo products and services.

8.2 Restrictions

You may not:

• Alter our materials in any way
• Use our materials in a manner that misrepresents Review Dingo
• Use our trademarks or logos without express permission
• Create derivative works based on our materials without permission

8.3 Ownership

All intellectual property rights in our materials remain with Review Dingo.

8.4 Brand Guidelines

When using Review Dingo materials, you must adhere to our brand guidelines, which are available upon request.

9. Confidentiality

9.1 Confidential Information

You agree to keep confidential any information provided by Review Dingo that is not publicly available.

9.2 Types of Confidential Information

This includes, but is not limited to:

• Commission rates
• Marketing strategies
• Customer information
• Proprietary technology

10. Privacy and Data Protection

10.1 Data Collection

We collect and process personal data in accordance with our Privacy Policy and applicable data protection laws.

10.2 GDPR Compliance

For EU residents, we process data in accordance with GDPR requirements.

10.3 CCPA Compliance

For California residents, we adhere to CCPA requirements.

10.4 Data Security

We implement appropriate security measures to protect affiliate data.

10.5 Affiliate Obligations

You agree to:

• Comply with all applicable data protection laws
• Obtain necessary consents before collecting personal data
• Maintain appropriate security measures for any collected data
• Only use customer data as permitted by law and our policies

11. Limitation of Liability

11.1 Limitations

Review Dingo will not be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits or business interruption
• Technical issues or tracking failures
• Any amount exceeding the total commissions paid to you in the prior six months

11.2 No Warranties

We make no warranties regarding the Affiliate Program, including but not limited to its availability, functionality, or suitability for your purposes.

12. Indemnification

You agree to indemnify, defend, and hold harmless Review Dingo, its officers, directors, employees, agents, and affiliates from and against any claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, resulting from or alleged to result from:

• Your breach of this Agreement
• Your misuse of the Affiliate Program
• Your violation of any law or the rights of a third party
• Your promotional activities related to Review Dingo

13. General Provisions

13.1 Independent Contractors

You and Review Dingo are independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship.

13.2 Assignment

You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights and obligations under this Agreement without your consent.

13.3 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

13.4 Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration conducted in Las Vegas, Nevada, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

13.5 Entire Agreement

This Agreement constitutes the entire agreement between you and Review Dingo regarding the Affiliate Program and supersedes all prior agreements and understandings.

13.6 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

13.7 Waiver

The failure of Review Dingo to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

13.8 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
